DAT Outgo Bundle Promotional Offer Terms

These DAT Outgo Bundle Promotional Offer Terms (“Promo Terms”) govern your participation in the DAT Outgo Bundle Promotional Offer (“Offer”). These Promo Terms are Promotional Offer Terms as defined in the DAT Terms and Conditions (dat.com/terms-and-conditions) and the Outgo Platform Agreement (outgo.dat.com/legal/tpb-platform-agreement). By enrolling in this Offer, you agree to be bound by these Promo Terms in addition to the DAT Terms and Conditions and the Outgo Platform Agreement. Capitalized terms not defined herein have the meanings given in the DAT Terms and Conditions or the Outgo Platform Agreement, as applicable.

  1. Offer Description.

    Eligible participants will receive a percentage discount on their DAT One Standard monthly subscription rate. The percentage discount available to a specific participant is the amount displayed to that specific participant in the promotion on the sign-up screen at the step when the participant accepts these Promotional Terms and Conditions and is calculated as a fixed dollar amount at the time of enrollment (“Discount Amount”), applied as a credit to their DAT One invoice for each qualifying billing period during the Promotional Period (defined below).

  2. Eligibility.

    To be eligible for this Offer, you must satisfy all of the following requirements at the time of enrollment and, where applicable, on an ongoing basis:

    1. You must be an active subscriber to a DAT One Standard subscription.
    2. You must be a first-time DAT Outgo customer. Existing or former DAT Outgo customers are not eligible.
    3. You must sign up for DAT Outgo through the designated Offer enrollment page or process.
    4. You must be approved to factor with Outgo by completing its underwriting process. Approval is in Outgo’s sole discretion as per sections 3a and 3b of the Outgo Factoring Agreement.
    5. One Offer enrollment per DOT number.
    6. No multiple discounts: Accounts are not eligible for multiple discounts or promotional benefits. Any DAT customer already receiving a discount on their DAT One subscription are not eligible for and will not receive an additional discount under these Promo Terms, and any customer receiving a discount under these Promo Terms shall be ineligible for any additional discount on their subscription throughout the Promotional Period, including but not limited to referral-based discounts.
  3. Promotional Period.

    The promotional period begins on the date on which you agree to these promotional terms and continues for twelve (12) calendar months thereafter (“Promotional Period”). The Discount Amount will be applied only in billing periods during the Promotional Period for which you have satisfied the Ongoing Requirements (defined below). Any billing period during the Promotional Period in which you do not satisfy the Ongoing Requirements will not extend the Promotional Period.

  4. Ongoing Requirements.

    To receive the Discount Amount in the upcoming billing period, you must satisfy each of the following during the preceding billing period:

    1. Submit and have approved at least one (1) invoice (“Approved Unpaid Invoice”) through DAT Outgo.
    2. Such invoice must be submitted and approved at least twenty-four (24) hours before your monthly DAT One billing cycle date.
    3. Maintain an active DAT One Standard subscription and an active DAT Outgo account in good standing.
  5. Discount Mechanics.
    1. The Discount Amount equals the percentage displayed to the participant on the sign-up screen at the step at which the participant accepts these Promotional Terms and Conditions, applied to the participant’s DAT One Standard monthly subscription rate in effect at that time and calculated as a fixed dollar amount.
    2. The Discount Amount will not change during the Promotional Period, regardless of any subsequent changes to DAT One Standard subscription pricing. If the DAT One Standard subscription undergoes any name or other changes during the Promotional Period, the Discount Amount shall apply to the subsequent product, as changed, so long as you maintain an active subscription to the subsequent product with a subscription fee no less than the amount of your DAT One subscription fee as of the date on which you accept these Promo Terms.
    3. The Discount Amount applies to the primary subscription fee only. It does not apply to additional authorized user seats, add-on products, or any other fees.
    4. The Discount Amount will be reflected as a percentage discount on your DAT One invoice for each qualifying billing period.
  6. Termination of Discount.

    Your participation in this Offer and entitlement to the Discount Amount will terminate upon the earliest of:

    • Expiration of the Promotional Period;
    • Cancellation or termination of your DAT One subscription;
    • Any change in your DAT One subscription tier (e.g., from Standard to a different tier);
    • Cancellation or termination of your DAT Outgo account;
    • Breach by you of the DAT Terms and Conditions, the Outgo Platform Agreement, or these Promo Terms; or
    • Discontinuation of the Offer by DAT in accordance with Section 8.
  7. Relationship to Other Agreements.

    These Promo Terms supplement, and do not replace, the DAT Terms and Conditions and the Outgo Platform Agreement (including the Outgo Factoring Agreement). Your use of DAT One remains governed by the DAT Terms and Conditions. Your use of DAT Outgo remains governed by the Outgo Platform Agreement and the Outgo Factoring Agreement. In the event of a conflict between these Promo Terms and the DAT Terms and Conditions or the Outgo Platform Agreement, these Promo Terms will control solely with respect to the subject matter of this Offer.

  8. Modification and Discontinuation.

    DAT reserves the right to modify, suspend, or discontinue this Offer at any time in its sole discretion. Any modification or discontinuation will not affect the Discount Amount for participants who have already enrolled in the Offer and are within their Promotional Period; such participants will continue to receive the Discount Amount for qualifying billing periods through the end of their Promotional Period, subject to their continued satisfaction of the Ongoing Requirements and these Promo Terms.

  9. General.

    This Offer is void where prohibited. These Promo Terms are governed by the laws of the State of Delaware, without regard to choice of law principles, consistent with Section 10.6 of the DAT Terms and Conditions. Any dispute arising under these Promo Terms will be resolved in accordance with Section 10.7 of the DAT Terms and Conditions. DAT’s aggregate liability under these Promo Terms will not exceed the total Discount Amount credited to your account during the Promotional Period.
